1. Acceptance of These Terms

These Terms of Service ("Terms") govern your use of the websites, portals and services provided by CK Unlimited LLC ("CK Unlimited," "we," "our," or "us"). By using our websites or services, you agree to these Terms. If you are using our services on behalf of a business, you agree to these Terms on its behalf. If a separate written agreement signed by you and CK Unlimited (such as a client proposal, order or services agreement) covers a service, that signed agreement controls where it conflicts with these Terms.

Order of precedence. If our legal documents conflict, they apply in this order: (1) a signed written agreement between you and CK Unlimited; (2) our Data Use and Acceptable Use Agreement, for matters of data collection, use, sharing, security, retention and acceptable use; (3) these Terms, for all other matters; and (4) our Privacy Policy. The SMS / Text Messaging Program terms in Section 7 apply to text messaging in every case, and nothing in any of these documents permits sharing mobile information or text messaging opt-in data in a way Section 7 prohibits.

2. Our Services

CK Unlimited provides consulting, technology and data-management services, including client portals, communications systems and related support. The specific services, deliverables and schedules for a client are described in that client's proposal, order or agreement.

3. Accounts and Security

Some services require an account. You are responsible for keeping your login credentials confidential and for activity under your account. Tell us promptly at privacy@ck-unlimited.com if you believe your account has been used without your permission.

4. Acceptable Use and Data Use

Your use of our websites and services is also governed by our Data Use and Acceptable Use Agreement, a separate agreement that is incorporated into these Terms. It describes how we collect, use, share and protect data, including data shared with our Affiliated Partners, and the rules for acceptable use of our systems, including telephone, email and text messaging. You are responsible for the accuracy of information you provide to us.

5. Fees and Payment

Fees for paid services are set out in your proposal, order, agreement or invoice. Unless your agreement says otherwise, invoices are due on receipt, and we may suspend services for accounts that are past due after notice to you.

6. Your Data and Privacy

You keep ownership of the data you provide to us ("Client Data" in our Data Use and Acceptable Use Agreement). We use it to provide and support our services, as described in our Privacy Policy and our Data Use and Acceptable Use Agreement, which are part of these Terms. You can manage how we contact you on our Communication Preferences page.

8. Intellectual Property

Our websites, software and materials, and the CK Unlimited name and logo, are owned by CK Unlimited or its licensors. Except for deliverables assigned to you under a written agreement, these Terms do not transfer any ownership to you. You may not copy, modify or redistribute our materials without our permission.

9. Third-Party Services

Our services may rely on or link to services operated by others, such as telecommunications carriers, messaging providers and hosting providers. We are not responsible for third-party services that you choose to use, and your use of them may be subject to their own terms. This section does not limit our obligations for Data handled by our Affiliated Partners and Service Providers on our behalf, which are set out in our Data Use and Acceptable Use Agreement.

10. Disclaimers

Except as stated in a written agreement with you, our websites and services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that our services will be uninterrupted or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, CK Unlimited will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of our websites or services. Our total liability for any claim relating to the services is limited to the amount you paid us for the service giving rise to the claim in the twelve months before the claim arose.

12. Indemnification

You agree to indemnify and hold CK Unlimited harmless from claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of our services or your violation of these Terms (including the Data Use and Acceptable Use Agreement) or of any law.

13. Termination

You may stop using our services at any time, subject to any written agreement with you. We may suspend or end your access if you violate these Terms (including the Data Use and Acceptable Use Agreement) or if needed to protect our services or other users. Sections that by their nature should survive termination, including Sections 4 and 8 through 14, survive.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Any dispute relating to these Terms or our services will be brought in the state or federal courts located in Michigan, and you consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date. The same applies to our Privacy Policy and Data Use and Acceptable Use Agreement, each on its own page. Your continued use of our websites or services after an update means you accept the updated Terms.
